These terms and conditions hereby governs the relationship between you, and ibüümerang (“ibuumerang” and/or “the Company”). You acknowledge that you have read, understood, and agree to be bound by these terms and conditions, including any future modifications. Your continued use of the platform will constitute acceptance of these terms and conditions. Throughout these terms and conditions, “Agreement” collectively refers to the ibüümerang Subscription Terms and Conditions, ibüümerang Policies and Procedures, ibüümerang Compensation Plan, TSA Application Agreement, and all or any other document incorporated by ibüümerang. This agreement sets out the respective rights and obligations of both parties in connection with this service provided by ibüümerang and both parties will accept and be bound by these terms.
I certify that I am at least 18 years old (or of contractual age in my country of residence) and that all information I provided on this Application is accurate. I understand that ibüümerang requests my personal tax identification number solely for the purposes of reporting income to the Internal Revenue Service and/or, if applicable, the corresponding Office in my country of residence. Under its right of contract, ibüümerang maintains the right to decline my application if I do not provide a valid tax identification number.
I understand that as a TSA of ibüümerang I am granted the right to enroll persons in ibüümerang, I am granted the right to offer and sell ibüümerang products and/or services in accordance with the Agreement, and if I qualify I have the right to earn commissions pursuant to ibüümerang Compensation Plan.
I agree to abide by the code of ethics set forth in the Policies and Procedures.
I agree to present the business of ibüümerang accurately, truthfully, and in a non-deceptive / misleading way. I will do this through presenting the official ibüümerang materials provided and produced by the company and agree not to alter or change any of its contents. I understand I may not use my own income as an indication of others’ potential success, or use compensation checks as marketing materials.
I agree to not coerce or entice any new member or any persons to enroll in ibüümerang without their voluntary consent.
I agree that I will be courteous, respectful, honest and fair in all my dealings while acting as a TSA and I will perform my business activities in a manner that will enhance my reputation and the positive reputation of ibüümerang.
I will not engage in any improper cross-recruiting or any other inappropriate, non- ibüümerang related communications as detailed herein this agreement throughout.
I will not make discouraging or disparaging claims toward other ibüümerang TSA’s. I will ensure that in all ibüümerang dealings I will refrain from engaging in negative language. I will refrain from making any type of slanderous statements.
I agree that as an ibüümerang Ambassador I am an independent contractor, and not an employee, partner, legal representative, or franchisee of ibüümerang. I understand and agree that I will be solely responsible for paying all expenses incurred by myself, including but not limited to travel, food, lodging, secretarial, office, long distance telephone and other expenses. I UNDERSTAND THAT I SHALL NOT BE TREATED AS AN EMPLOYEE OF IBÜÜMERANG FOR ANY PURPOSE. ibüümerang is not responsible for tax withholding, and reserves the right to refuse to withhold or deduct from my bonuses and commissions, if any, social security taxes FICA (Federal Insurance Contribution Act) or taxes of any kind, even if requested or agreed to by me in order to comply with any governmental order of backup withholding. I understand I am responsible to pay all applicable federal and state taxes and/or license fees, including but not limited to FUTA (Federal Unemployment Tax Act) and state unemployment and workers compensation taxes that may become due as a result of my activities as an Independent Ambassador.
I agree that I must be active and qualified and in compliance with the Agreement to qualify for compensation of bonuses and commissions. I am entitled to purchase travel for my own personal use and/or family use, ibüümerang prohibits the use of buying travel for extended friends in large quantities or consistent use; ibüümerang recommends that the TSA explore the option of enrolling the member into the business. I understand that I must be in good standing and not in violation of the Agreement, to be eligible for any commission or bonuses from ibüümerang.
I authorize ibüümerang to e-ship the subscription package I have selected each month. I understand that ibüümerang is under no obligation to e-ship subscriptions if the authorized payment method: credit card(s) have been closed, are expired, or the monthly limit exceeded. I understand and authorize ibüümerang to withdraw payment for my subscription order(s) from my credit card(s) or bank account identified within my profile. I agree to pay USD$25.00 service fee in the event of a check or charge for my subscription is returned for any reason. I agree to notify ibüümerang of any erroneous transactions made to the credit card within seven (7) business days. I understand that I have the right to have the amount of any erroneous withdrawal deposited into my account as soon as reasonably possible and upon proper notification to ibüümerang. I agree to hold harmless ibüümerang for all special or consequential damages, whether direct or indirect, resulting from any wrongful debit to my account.
I understand and agree that being a TSA’s is not guaranteed any income, profits or success by virtue of TSA’s position with ibüümerang, and I hereby certify that no such Representations or warranties have been made to me. I understand not to falsify or make income claims to entice new persons to enroll.
I have carefully read and agree to comply with the ibüümerang Agreement. I understand that these Terms and Conditions, ibüümerang Policies and Procedures, ibüümerang Subscription Terms and Conditions and the ibüümerang Compensation Plan may be amended at any time with the sole discretion of ibüümerang, and by submitting this application I agree to abide by all such amendments. Amendments shall be binding immediately after notification. My continued use of the service will constitute my acceptance of the amended terms.
The term of this agreement is one year (subject to prior cancellation pursuant to the ibüümerang Policies and Procedures). If I fail to annually renew my ibüümerang subscription, or if it is cancelled or terminated for any reason, I understand that I will permanently lose all rights as a Ambassador. I shall not be eligible to sell travel membership subscriptions, nor shall I be eligible to receive bonuses, commissions, or other income resulting from the activities of my former downline sales organization. In the event of cancellation, termination or non-renewal, I waive all rights I have, including but not limited to property rights, to my former downline organization and to any bonuses, commissions or other remuneration derived through sales and other activities of my former downline organization. Ibüümerang reserves the right to terminate all Independent Ambassador Agreements upon providing reasonable notice.
I may not assign any rights or delegate my duties under the Agreement without prior written consent of ibüümerang. Any attempt to transfer or assign the Agreement without the express written consent of ibüümerang renders the Agreement voidable at the discretion of ibüümerang and may result in termination of my subscription.
I understand that if I fail to comply with any of the terms of the Agreement, or I breach any of the terms of the Agreement, ibüümerang may, impose a disciplinary action pursuant to the Policies and Procedures, up to and including the termination of my Ambassadorship. If I am in violation of any of these terms I understand that I shall not be entitled to receive any further bonuses or commissions, whether or not sales for such bonuses have been completed. In accordance to the above mentioned, I understand that I have forfeited all benefits due to my actions as an Ambassador.
I understand that my participation as an Ambassador of ibüümerang does not restrict my participation in another multi-level marketing, network marketing or direct sales opportunity. I understand that while my TSA Agreement is in effect and during the six month period following the resignation, non-renewal, or termination (for any reason), I shall not own, manage, operate, consult for, serve in a Key Position in, or participate as an independent distributor in (a) any other direct sales program using a multi-level or network marketing structure, (b) any other enterprise that markets, through independent distributors, products or services functionally interchangeable with those offered through or by ibüümerang or competes with ibüümerang in offering travel products or discounts for travel.
I understand that ibüümerang does not restrict individuals to participate in another non-competing multi-level marketing, network marketing or direct sales opportunity, if any, I agree to maintain separate organizations, independent of one another, for each non-competing business venture.
Ibüümerang, its parent or affiliated companies, directors, officers, shareholders, employees, assigns, and agents (collectively referred to as “Agents”), shall not be liable for, and I release ibüümerang and its Agents from, all claims for consequential and exemplary damages for any claim or cause of action relating to the Agreement. I further agree to release ibüümerang and its Agents from all liability arising from or relating to the promotion or operation of my ibüümerang business and any activities related to it (e.g., the lease of meeting or training facilities, the operation of a motor vehicle, etc.) and agree to indemnify ibüümerang for any liability, damages, fines, penalties, or other awards arising from any unauthorized conduct that I undertake in operating my business.
The Agreement, in its current form and as amended by ibüümerang at its discretion, constitutes the entire contract between ibüümerang and myself. Any promises, representations, offers, or other communications not expressly set forth in the Agreement are of no force or effect.
Ibüümerang never gives up its rights to insist on compliance with the Agreement and with the applicable laws governing the conduct of a business. Waiver by ibüümerang can be effectuated only in writing by an authorized officer of ibüümerang. Ibüümerang’s waiver of any particular breach by a TSA shall not affect or impair ibüümerang’s rights with respect to any subsequent breach, nor shall it affect in any way the rights or obligations of any other TSA. If any provision of the Agreement is held to be invalid or unenforceable, such provision shall be reformed only to the extent necessary to make it enforceable and the balance of the Agreement will remain in full force and effect.
This Agreement will be governed by and construed in accordance with the laws of the United Kingdom and the Laws of the United States, in the States of Texas, Collin County without regard to the principles of conflicts of laws. In the event of a controversy between an Ambassador and ibüümerang arising from or relating to the Agreement, or the rights and obligations of either party, the parties shall resolve the controversy through arbitration expressed in more detail in the Policies and Procedures.
Louisiana Residents: Notwithstanding the foregoing, Louisiana residents may bring an action against the Company with jurisdiction and venue as provided by Louisiana Law.
Montana Residents: May cancel his or her Ambassador Agreement within fifteen (15) days from the date of enrollment and may return his or her inventory and/or sales aids for a full refund within such time period.
I understand, agree and authorize ibüümerang to debit on a monthly basis either my e-wallet, or credit card that I designate through my back-office. I agree to have my designated account to be debited the annual fee on its anniversary date to keep my account active.
I understand that if my subscription fails to go through my account will become inactive and I will not be eligible to collect any commissions or bonuses due to an ‘inactive’ account status. I understand that I am solely responsible to ensure my account status is in an active status in order to be eligible for commissions and bonuses to be paid to my account.
I understand that if I attend ibüümerang events I may be photographed or named in a personal story surrounding ibüümerang products or services and I waive all claims for remuneration for such use.
The Company reserves the right to accept or reject any applicant and is under no obligation to offer any reason for rejection. The Company is under no obligation to notify an applicant of an incomplete or faulty application.
I understand that if I cancel my subscription I will not be allowed to rejoin or re-apply as an Ambassador for 6 months. I understand that I can re-apply in 6 full calendar months.
The Agreement may be transmitted by fax or scanned and emailed and, if so, is intended by TSA to and will be treated as an original document with original signatures and considered to have the same binding effect as an original document with original signatures.
I understand I have the right to cancel participation in the marketing program at any time for any reason upon written notice to ibüümerang. Please refer to the Policies and Procedures for full details.
